1. Introduction and Agreement to Terms

Welcome to Thrive Perth/Rockingham. These Terms and Conditions ("Terms") govern your access to and use of our websites, including any subdomains thereof, the Thrive Rockingham/Perth Directory, and all services provided by us, including our AI & Automation Audits and advisory services (collectively, the "Services").

By accessing our websites or using our Services, you agree to be bound by these Terms and our separate Privacy Policy and Refund Policy. If you do not agree to these Terms, you must not access our websites or use our Services. These Terms constitute a legally binding agreement between you ("Client," "you," "your") and Thrive Perth/Rockingham ("we," "us," "our").

We operate in compliance with all applicable Australian laws, including the Australian Consumer Law (ACL) and the Privacy Act 1988 (Cth).

2. Scope of Services

We provide a range of digital marketing, online presence, and advisory services, which are categorized as follows:

•Directory Services: Management and operation of the Thrive Rockingham/Perth online business directory, offering both free and paid listings for businesses.

•AI & Automation Audits: Provision of two distinct audit packages—the Quick Start Audit and the Comprehensive AI & Automation Audit—designed to analyze a business's digital presence and internal operations to identify opportunities for improvement.

•Advisory Services: General guidance, analysis, and strategic recommendations related to digital marketing, online presence, and business process automation.

3. Directory Services Terms

By listing your business on the Thrive Rockingham/Perth Directory, you agree to the following conditions:

•Accuracy of Information: You warrant that all information you provide for your business listing is accurate, current, and not misleading. You are solely responsible for updating your listing information.

•Content License: You grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute the content you provide for your listing (including text, logos, and images) on our Directory and in our promotional materials.

•Prohibited Content: You must not submit any content that is unlawful, defamatory, infringing on intellectual property rights, or otherwise objectionable. We reserve the right to remove any listing or content that violates these Terms, at our sole discretion and without notice.

4. AI & Automation Audit Services

Our Audit Services are subject to the following specific terms:

•Service Delivery: Each audit will be delivered as described on our sales page and includes the specified reports, consultations, and support periods.

•Client Cooperation: You agree to provide timely and accurate information required for us to perform the audit, including participating in scheduled interviews and providing access to relevant business data or systems as mutually agreed.

•Redeemable Fee: For the Comprehensive Audit, the audit fee may be redeemed against the cost of implementation services provided by us, subject to a separate agreement for those services.

5. Fees, Payment, and Refunds

All fees for our Services are quoted in Australian Dollars (AUD) and are due in full prior to the commencement of the Service. Payments are processed through our third-party payment gateway, Stripe, and are subject to their terms of service. Our policies regarding refunds are detailed in our separate Refund Policy, which is incorporated by reference into these Terms. Your rights under the Australian Consumer Law are not limited by our Refund Policy.

6. Intellectual Property

All intellectual property created by us during the provision of Services, including but not limited to audit reports, implementation roadmaps, strategic analyses, and custom content, remains our exclusive property. Upon full payment for the Services, we grant you a perpetual, non-exclusive, non-transferable license to use these materials for your own internal business purposes only. You may not resell, redistribute, or publicly display these materials without our prior written consent.

7. Disclaimers and Limitation of Liability

This section contains critical limitations on our liability and your use of our Services.

All information, guidance, and recommendations provided through our Services are for general informational and educational purposes only. They do not constitute professional business, legal, financial, or accounting advice. Independent Operation and No Affiliation

Thrive Perth/Rockingham is an independent entity. We are not affiliated with, endorsed by, or an agent of any third-party platform, including but not limited to Facebook (Meta), Google, GoHighLevel, or Stripe. Any mention of third-party platforms is for descriptive or analytical purposes only.

AI Usage Disclosure

Our Services may utilize artificial intelligence (AI) tools to analyse data and generate insights. While these tools are powerful, they have limitations and may produce errors. All AI-generated outputs are reviewed and interpreted by our human experts, but we do not guarantee the absolute accuracy of AI-generated data. By using our Services, you consent to your business data being processed by our selected third-party AI platforms under strict confidentiality and security protocols.

Limitation of Liability

To the fullest extent permitted by law, our total liability to you for any loss or damage arising out of or in connection with the Services, from any cause (including breach of contract, negligence, or breach of statute), is limited to the total amount of fees paid by you for the specific Service giving rise to the liability. We are not liable for any indirect, consequential, or special loss, including loss of profit, loss of business, or loss of data.

8. Australian Consumer Law

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:

•to cancel your service contract with us; and

•to a refund for the unused portion, or to compensation for its reduced value.

You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done, you are entitled to a refund for the service and to cancel the contract for the service.

9. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. You may cease using our Services at any time, subject to the terms of our Refund Policy.

10. Dispute Resolution

Should a dispute arise, you agree to first attempt to resolve it with us directly by sending a written notification of your dispute to [email protected]. If we cannot resolve the dispute informally within thirty (30) days, both parties agree to pursue mediation in good faith before commencing any litigation. These Terms are governed by the laws of Western Australia, and you agree to submit to the exclusive jurisdiction of the courts of that state.

•Entire Agreement: These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding our Services.

•Changes to Terms: We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
